Qué vas a ver, y cuándo.

  • a) diseño, configuración, publicación y operación de campañas de captación y prospección en los canales que Consultor Gautrin determine idóneos;
  • b) configuración, estructuración y mantenimiento del CRM y de la infraestructura comercial asociada, incluida la licencia de uso de la plataforma Kreenti durante la vigencia del Servicio;
  • c) diseño e implementación de automatizaciones, secuencias de seguimiento, mensajería y agentes conversacionales;
  • d) configuración y operación del calendario y del flujo de agendamiento de citas;
  • e) producción de los materiales, piezas y contenidos que Consultor Gautrin estime necesarios para lo anterior;
  • f) medición, análisis y optimización continua del desempeño del sistema;

2.3 Qué no comprende.

  • a) Campaña principal (incluida).

  • a) Accesos.
  • a bis) Materiales.

  • (i) los plazos a cargo de Consultor Gautrin se suspenden por el tiempo que dure la falta, y se reanudan cuando el insumo se recibe;
  • (ii) la Garantía de costo por cita de la cláusula 5 no resulta aplicable mientras dure la falta, y los días afectados no cuentan para el primer mes de campaña ni para el plazo de la cláusula 3.2;

5.6 Campaña no publicada a tiempo.

5.7 Qué no cubre. Esta garantía no aplica cuando:

  • a) el reclamo se funde en resultados comerciales distintos del costo por reunión agendada —asistencia, calidad o conversión de las reuniones, ventas, ingresos o retorno de inversión—, conforme a la cláusula 2.6;
  • b) el Cliente no sostuvo el presupuesto publicitario acordado, pausó, modificó o intervino la campaña, o incumplió cualquiera de las obligaciones de la cláusula 4 durante el primer mes de campaña;
  • c) el Cliente cambió su oferta, su público objetivo, sus precios o sus materiales durante el periodo de medición sin acuerdo previo por escrito;

19.3 No renuncia.

20.2 Reglas. Cada participante se obliga a:

  • a) Respeto.

ANEXO A — PREGUNTAS FRECUENTES

¿Cuánto tiempo me va a tomar a mí?

HOW THIS WORKS, IN SHORT

This section is informational and written in plain language so you can read it quickly. It does not replace or modify the Terms that follow; if anything here appears to differ, the numbered clauses govern.

What you are engaging. A client acquisition system installed and operated by us, designed to put qualified sales appointments on your calendar. It is not a course, it is not just software, and it is not an agency that delivers reports: we build it, connect it, and run it.

What the fee covers. Implementation, operation, and ongoing optimization of the system, plus the license to use the Kreenti platform for as long as the Service is active.

What is paid separately. Your advertising spend on Meta (charged directly to your card by the advertising platform) and platform usage — WhatsApp messages, emails, minutes, AI processing — which runs on a prepaid balance that auto-recharges. Amounts and how they are charged are set out in Clause 6. New ads and angles for your main campaign are included; if you later want to take the system to another niche or line of business, that additional campaign is charged separately (Clause 2.8).

How long it takes. Our implementation work takes 14 business days counted from the day we receive your access, information and materials in full. Every day a deliverable is missing is added to the timeline, and third-party reviews count separately (Meta reviews accounts, ads and WhatsApp templates on its own schedule). Your launch plan sets out in writing what you deliver, when, and the estimated date your campaign goes live.

What you will see, and when. From the seventh day of active operation of your Meta campaign, you begin to see real data from your own operation inside your CRM: prospects received, cost per prospect, open conversations, and appointments booked. Volume and speed vary with your industry, your offer, your budget, and your competition. That is why we do not commit to numbers: we commit to a system that is live, measured, and optimized.

What we need from you. Access, your real commercial information, approval or comments on materials, a sustained campaign budget and — most importantly — that you work and follow up on the prospects and appointments the system generates.

No minimum term. The Service is month to month and you may cancel at any time. There are no penalties and no lock-in.

Cost-per-Appointment Guarantee. Before launch we set with you, using your own numbers, the maximum you should pay for a booked meeting; it is written into your launch plan. When your campaign completes its first month live, we review the actual cost per booked meeting. If it is within the cap, nothing changes. If it is above the cap, we pause your next monthly fee and keep operating and optimizing at no cost until it is within the cap. The same applies if, for reasons attributable to us, your campaign is not live within 14 business days of receiving your deliverables. What we do not guarantee: how many meetings you close. How it is measured, what counts as a booked meeting and what is excluded are in Clause 5.

Invoicing. We issue a numbered invoice from the United States showing your RFC, legal name, and tax domicile, together with the tax note supporting its deduction in Mexico under Rule 2.7.1.14 of the Mexican Miscellaneous Tax Resolution. It is not a CFDI issued by the Mexican tax authority. Clause 6.6 explains this in full.

Group sessions. They are a space shared with other clients. Everyone is treated with respect, speaking turns are honored, individual or billing matters go through support, and your team follows the same rules you do. Breaking them can end the service (Clause 20).

1. PARTIES, ACCEPTANCE AND SCOPE

1.1 These Terms and Conditions (the "Terms") govern the provision of services by Consultor Gautrin LLC, a company organized under the laws of the State of New Mexico, United States of America ("Consultor Gautrin", "we", "us"), to the individual or legal entity engaging such services (the "Client").

1.2 The Client accepts these Terms upon the first of the following to occur: (i) electronic acceptance of these Terms; (ii) signature or acceptance of the service order, proposal, or quote incorporating them by reference; (iii) making the first payment; or (iv) beginning to use the services.

1.3 The Client represents that it is of legal age and, in the case of a legal entity, that the person accepting has sufficient authority to bind it.

1.4 These Terms, together with the accepted service order, proposal, or quote and the Privacy Policy, constitute the entire agreement between the parties and supersede any prior communication, promise, or representation, whether oral or written.

1.5 The Service is directed to businesses, independent professionals, and persons contracting for purposes related to their commercial or professional activity. It is not offered to end consumers for personal, family, or household purposes.

2. WHAT THE CLIENT IS ENGAGING

2.1 Purpose. Consultor Gautrin implements and operates for the Client an acquisition system whose purpose is the generation of commercial appointments with prospects matching the profile defined with the Client (the "Service").

2.2 What it comprises. The Service comprises, by way of example and without limitation, the elements necessary for the purpose set out in Clause 2.1, including:

  • a) design, configuration, publication, and operation of lead generation and outbound prospecting campaigns on the channels Consultor Gautrin deems suitable;
  • b) configuration, structuring, and maintenance of the CRM and associated commercial infrastructure, including the license to use the Kreenti platform during the term of the Service;
  • c) design and implementation of automations, follow-up sequences, messaging, and conversational agents;
  • d) configuration and operation of the calendar and appointment booking flow;
  • e) production of the materials, assets, and content Consultor Gautrin deems necessary for the foregoing;
  • f) measurement, analysis, and ongoing optimization of system performance;
  • g) advisory services and support in the sessions agreed upon.

2.3 What it does not comprise. The Service does not include: advertising spend on third-party platforms; the platform usage described in Clause 6.4; third-party licenses, subscriptions, or domains contracted by the Client; the selling, negotiation, or closing of business with prospects, which is the Client's responsibility; nor branding, editorial content, or social media management services.

2.4 Technical judgment and evolution of the system. The Client is engaging an operational outcome — a system that produces appointments — not a fixed list of tools. Consultor Gautrin, as operator, determines the means, tools, platforms, channels, providers, methodologies, configurations, and volumes used to deliver the Service, as well as their sequence and schedule, and may add, replace, modify, or remove any component where doing so improves or preserves the purpose set out in Clause 2.1. No individual tool, platform, channel, format, or deliverable constitutes a standalone obligation of Consultor Gautrin.

2.5 Enhancements and additional items. Consultor Gautrin routinely provides additional items, materials, developments, digital assets, sessions, or support when it identifies that they benefit the Client's operation. Such items are provided as a courtesy, do not form part of the base Service, do not change the price, are not enforceable and create no vested right, and may not be repeated in later periods without this constituting a breach.

2.6 What we do and do not commit to. Consultor Gautrin undertakes to implement the system, keep it operating, measure its performance, and optimize it on an ongoing basis while the Service is active. By its nature, the Service is an obligation of means and of implementation. Commercial results — number of prospects, number of appointments, show rate, close rate, sales, revenue, or return on investment — depend on factors outside Consultor Gautrin's control: the Client's market and competition, its offer and pricing, its reputation, its closing capacity and speed, its advertising budget, and its compliance with Clause 4. For that reason, no figures or commercial results are guaranteed. What is guaranteed, on the terms of Clause 5, is that the campaign goes live on time and that the cost per booked meeting stays within the cap agreed with the Client; otherwise the monthly fee is paused while it is corrected.

2.7 Published cases and testimonials. Any cases, figures, testimonials, or examples published by Consultor Gautrin in any medium correspond to specific clients under specific conditions, are presented for illustrative purposes, and do not represent a typical, average, or promised result.

2.8 Main campaign and additional campaigns.

  • a) Main campaign (included). The fee covers one main campaign: the service line and client profile set out in the Launch Plan (Clause 5.2), with its complete system. Throughout the term and at no additional cost, it includes new ads and videos, new angles and messages, audience and format tests, budget adjustments, and the ongoing optimization described in Clause 2.6.
  • b) Additional campaign. An additional campaign is one the Client requests for a service line, niche, or client profile different from those of the main campaign. It usually requires its own system — creatives, funnel or form, calendar, WhatsApp number or flow, and conversational agents — even if it runs in the same Kreenti account. Practical test: if who is being addressed or which service is offered changes, it is an additional campaign; if only how it is said changes (ad, angle, format, or audience within the same profile), it is part of the main campaign.
  • c) Price. Each additional campaign carries: (i) at launch, fifty percent (50%) of the Service's current activation payment, which covers its implementation and its first month; and (ii) from its second month, fifty percent (50%) of the Service's current monthly fee, charged together with it for as long as the additional campaign is active.
  • d) How it is engaged. An additional campaign is implemented and charged only when the Client requests it and accepts it in writing (email or WhatsApp), with its start date. Its implementation follows the timelines and deliverables of Clauses 3 and 4, counted separately. Its advertising spend and platform usage are borne by the Client (Clauses 6.3 and 6.4). The Cost-per-Appointment Guarantee in Clause 5 applies only to the main campaign.
  • e) Cancellation. The Client may cancel an additional campaign at any time, with the notice set out in Clause 7.2, without affecting the main campaign.

3. IMPLEMENTATION AND TIMELINES

3.1 Start. The Service begins on the date of the first payment. From that point the kickoff session is scheduled and the access and information described in Clause 4 are requested.

3.2 Implementation timeline. The implementation work for which Consultor Gautrin is responsible is completed within fourteen (14) business days following receipt in full of the access, information and materials under Clause 4.1. Within that period the strategy and LinkedIn prospecting are activated, and the CRM, booking funnel, WhatsApp channel and Meta campaign are configured and launched. The timeline does not run while any of those deliverables is missing (Clause 4.3). Consultor Gautrin notifies the Client in writing of the date on which the campaign goes live (Campaign Launch Notice), which is the date from which the first campaign month under Clause 5 is counted.

3.3 What the timelines depend on. The timelines in Clause 3.2 assume that the Client delivers access, information, and approvals within the periods set out in Clause 4. In addition, certain steps depend on reviews and approvals carried out by third parties under their own criteria and timeframes — including, by way of example, review of advertising accounts, ads, and messaging templates by Meta, or business identity verification. Consultor Gautrin manages and follows up on those reviews but does not control their outcome or duration; time consumed by them does not count as a delay attributable to Consultor Gautrin.

3.4 Visibility of the operation. Once implementation is complete, the Client has, within its CRM, information on its own operation — prospects received, source, cost per prospect, conversations, and appointments booked — updated on an ongoing basis. From the seventh day of active operation of the Meta campaign, that information already reflects the Client's own data and allows the system's initial performance to be read. Clause 2.6 applies at all times to the interpretation of such data.

3.5 Optimization. Once implementation is complete, the system enters ongoing operation and optimization: adjustments to campaigns, messaging, targeting, funnel, and automations, aimed at improving the consistency and quality of results over the following months.

3.6 Support. The Client is supported by WhatsApp and email through the channels designated by Consultor Gautrin. Our target for first response is the same business day. Requests requiring configuration, third-party involvement, or Client authorization are resolved within the time their nature permits, and progress is communicated.

4. WHAT THE CLIENT PROVIDES

4.1 The system runs on inputs from the Client's business. The Client undertakes to:

  • a) Access. Grant and keep valid, within five (5) business days of request, the access, permissions and credentials required: Meta ad account with an active payment method and budget loaded, Facebook page and Instagram account, business portfolio, a dedicated phone number for WhatsApp (new, or released from personal WhatsApp, able to receive the verification code), domain and email, LinkedIn profile with an active session, and any other the Service requires.
  • a bis) Materials. Deliver, within five (5) business days of receiving the scripts, the video recordings and photographs requested in line with those scripts, of sufficient quality for editing. If the Client chooses not to record, it says so in writing and Consultor Gautrin launches the campaign with images; that choice does not suspend any timeline.
  • b) Information. Provide truthful, complete, and current information about its offer, pricing, customer profile, capabilities, and constraints, and promptly notify any material change.
  • c) Approvals. Review and approve or comment on materials, copy, campaigns, and configurations submitted to it within a maximum of three (3) business days. If no comments are received within that period, Consultor Gautrin proceeds with the version submitted so as not to stall implementation; the Client may request adjustments afterwards through the support channel.
  • d) Advertising budget. Fund, at its own cost and directly with the platforms, the advertising spend the Service requires, as well as its own licenses, subscriptions, and domains. This spend is not part of Consultor Gautrin's fee.
  • e) Commercial follow-up. Diligently work the prospects and appointments generated, attend booked appointments, follow up within reasonable timeframes, and record the outcome of each interaction in the CRM. This is the part of the process Consultor Gautrin cannot perform on the Client's behalf, and the Client's results depend directly on it.
  • f) Regulatory compliance. Maintain a valid privacy notice, obtain the authorizations required to process its prospects' data, and comply with the regulations applicable to its activity, including the advertising and sector-specific rules that apply to it (by way of example, those applicable to insurance intermediaries, financial advisors, or regulated professionals).
  • g) Point of contact. Designate a person with decision-making authority as the single point of contact, and notify any change in writing.
  • g bis) Sessions. Attend the kickoff session within five (5) business days of the first payment and the handover and training session when convened, personally or through the person under Clause 4.1.g. Each session may be rescheduled up to twice; from the third rescheduling, or if there is no reply to the invitation within five (5) business days, it is treated as a pending deliverable for purposes of Clause 4.3.
  • h) Operational integrity. Refrain from modifying, disabling, duplicating, or interfering with — directly or through third parties — the campaigns, automations, configurations, or integrations operated by Consultor Gautrin, without prior agreement. If the Client needs a change, it requests it through the support channel and it is carried out in a coordinated manner.

4.2 What happens if any of this is delayed. Where one of the above obligations is not met, and without need of further declaration:

  • (i) the deadlines binding on Consultor Gautrin are suspended for as long as the omission lasts, and resume once the input is received;
  • (ii) the Cost-per-Appointment Guarantee in Clause 5 does not apply while the omission lasts, and the affected days do not count toward the first campaign month or the timeline in Clause 3.2;
  • (iii) Consultor Gautrin is released from the consequences arising from the system's failure to operate attributable to that cause; and
  • (iv) if the omission persists and materially prevents operation, Consultor Gautrin may suspend the Service under Clause 7.4, without refund of the fee for the current period.

4.3 How deadlines are computed. The deadlines binding on Consultor Gautrin (Clause 3.2) and the first campaign month (Clause 5.3) are counted in Mexican business days and start to run only once the Client's deliverables are complete. Consultor Gautrin informs the Client in writing, in the implementation panel or by email, which deliverable is missing and since when; each day that passes until it is received is added to the timeline. The monthly fee is charged on the dates set in Clause 6 regardless of these suspensions, except as provided in Clause 5.

5. COST-PER-APPOINTMENT GUARANTEE

5.1 What it covers. Before launch, Consultor Gautrin and the Client set in writing, using the Client's own numbers, the maximum cost the Client should pay for a booked meeting (the "Cap"). At the close of the first campaign month (Clause 5.3), if the cost per booked meeting (Clause 5.4) exceeds the Cap, Consultor Gautrin pauses the next monthly fee and continues operating and optimizing the system at no additional cost until the average cost is within the Cap, at which point billing resumes. This is a guarantee on the cost of the booked meetings produced by the Client's advertising spend; it is not a guarantee of their number, attendance or closing (Clause 2.6).

5.2 Launch Plan. The Cap, the agreed monthly advertising budget, the Client's deliverables with their dates (Clause 4.1), the estimated campaign launch date and the dates of the day-14 and day-30 campaign reviews are recorded in the Launch Plan: the document with the Client's numbers that Consultor Gautrin sends after the plan presentation meeting (or, if the Client engages without that meeting, after the kickoff session), which the Client accepts upon payment or, at the latest, at the kickoff session. The Cap holds for as long as the offer, client profile, prices, and advertising budget remain those recorded in that document; if any of them changes, the Cap is revised by mutual agreement. The Cap comes from the Client's own numbers and is set by mutual agreement with Consultor Gautrin. This guarantee requires an agreed advertising budget of at least one thousand US dollars (USD 1,000) per month, and Consultor Gautrin may decline to offer it where the Cap falls below the cost per booked meeting achieved by the campaigns it runs in that market; in those cases the Launch Plan records it and the Service is provided without this guarantee.

5.3 First campaign month. The thirty (30) calendar days counted from the date of the Campaign Launch Notice (Clause 3.2). Days on which the campaign was paused, without budget, with the ad account stopped or restricted, or under platform review, for reasons attributable to the Client or to third parties (Clauses 4.2 and 15), do not count and extend the period by the same number of days.

5.4 How it is measured. The cost per booked meeting is the advertising spend actually incurred on Meta during the first campaign month divided by the number of meetings booked in the calendar of the Client's CRM over the same period, through any channel of the system (Meta, LinkedIn, WhatsApp, email or organic). Booked meetings count regardless of attendance or outcome; meetings cancelled by the Client, test meetings and meetings the Client books outside the system do not count. The sources are the CRM calendar and the Client's ads manager, visible to both parties at all times.

5.5 Reviews and notice. On day 14 of the campaign Consultor Gautrin reviews the accumulated cost with the Client and adjusts ads, form, targeting or messaging. At the close of the first month it sends in writing the First-Month Closing Notice with the spend, the booked meetings and the resulting cost. If the cost is within the Cap, the Service continues unchanged. If it exceeds the Cap, the next monthly charge is paused from its scheduled date; Consultor Gautrin reports the accumulated cost every fourteen (14) days and resumes billing from the date on which the average cost over the last thirty (30) days is within the Cap. The Client may raise differences in writing within five (5) business days of each notice; Consultor Gautrin replies within the same period. Absence of a reply constitutes acceptance.

5.6 Campaign not live on time. If, for reasons attributable to Consultor Gautrin, the campaign is not live within fourteen (14) business days of receipt in full of the deliverables under Clause 4.1, the next monthly fee is paused from its scheduled date until the date of the Campaign Launch Notice. Third-party review days (Clause 3.3) and days of Client omissions (Clause 4.2) do not count.

5.7 What it does not cover. This guarantee does not apply where:

  • a) the claim is based on commercial results other than the cost per booked meeting — attendance, quality or conversion of meetings, sales, revenue or return on investment — in accordance with Clause 2.6;
  • b) the Client did not sustain the agreed advertising budget, paused, modified or interfered with the campaign, or breached any obligation under Clause 4 during the first campaign month;
  • c) the Client changed its offer, target audience, pricing or materials during the measurement period without prior written agreement;
  • d) the impediment arises from force majeure or third-party causes under Clause 15, including the rejection, suspension or restriction of accounts, ads or templates by the platforms.

5.8 Economic scope. The guarantee consists solely of the temporary pause of the monthly fee. It gives rise to no refunds, credits, compensation or price reductions, and does not extend to advertising spend, platform usage under Clause 6.4 or third-party fees or licenses. During the pause the Service continues in full and the Client retains its right to cancel under Clause 7. The guarantee applies once per Client, to the first campaign month of the first launch; reactivations, new campaigns or later changes to the Cap do not renew it. The Cap continues to be used as an account indicator in later reviews, with no effect on billing.

5.9 Exclusive remedy. This Clause is the Client's sole and exclusive remedy regarding the cost of booked meetings and the campaign launch date, and supersedes any implementation or results guarantee contained in earlier versions of these Terms.

6. PRICE, CHARGES AND INVOICING

6.1 Fee. The fee, currency, billing frequency, and payment method are those set out in the service order, proposal, or quote accepted by the Client. The fee covers what is described in Clause 2.2, including the license to use the Kreenti platform during the term of the Service. Additional campaigns are charged under Clause 2.8.

6.2 Charging. Payment is made in advance for each monthly period and is processed by automatic charge to the card or payment method registered by the Client, through third-party payment providers. Consultor Gautrin does not store full card or bank account data. Failure to pay within five (5) calendar days of the due date entitles Consultor Gautrin to suspend the Service without liability and to demand the amounts due.

6.3 Advertising spend. Advertising spend is paid directly to the platform, using the Client's payment method, and is not included in the fee. The Client acknowledges that platforms bill and charge under their own rules — billing cycles, charge thresholds, and daily variation against the configured budget — which Consultor Gautrin does not control.

6.4 Platform usage (prepaid balance). Use of the platform generates metered consumption: WhatsApp messages, emails, calls, verifications, and artificial intelligence processing, among others. This consumption is covered by a prepaid balance associated with the Client's account, which auto-recharges against the registered payment method when it reaches the configured threshold. The Client may review its usage detail in its account and request, through the support channel, an adjustment to the recharge amount. Each recharge charged generates its own invoice.

6.5 Price adjustments. Prices may be adjusted for future periods upon written notice at least thirty (30) calendar days in advance. If the Client does not accept the adjustment, it may cancel under Clause 7.

6.6 Invoices and tax documentation. Consultor Gautrin LLC is an entity organized in the United States of America and issues a numbered invoice for each charge — fees and balance recharges — sent to the Client's registered email address. At the Client's request, that invoice is issued showing its RFC, legal name, and tax domicile, and includes the foreign issuer's details — name, address, taxpayer identification number (EIN), and place and date of issuance — as well as the description, quantity, unit value, and total amount of the service.

The Client acknowledges that this document is not and cannot be a CFDI issued by the Mexican tax authority, as it is issued by a foreign resident with no permanent establishment in Mexico, and that its deduction in Mexico is supported, where applicable, by Rule 2.7.1.14 of the Miscellaneous Tax Resolution, read together with Article 27, sections V and XVIII of the Mexican Income Tax Law. Upon request, the issuer's Form W-9 and certificate of tax residence are provided.

So that invoices are complete from the first charge, the Client must provide its RFC, legal name, and tax domicile — or its Mexican Tax Status Certificate — at the start of the Service; invoices already issued can be reissued on request. The tax treatment of these payments — deduction, withholding, and value added tax on imported services — is the responsibility of the Client and its tax advisor. Clients in other countries should confirm with their accountant the deductibility, withholding, and VAT requirements of their jurisdiction.

7. TERM, RENEWAL AND CANCELLATION

7.1 The Service is provided on a recurring monthly subscription basis with no minimum term, and renews automatically for successive monthly periods unless cancelled.

7.2 The Client may cancel at any time by written notice to the email address in Clause 19. If notice is received at least five (5) calendar days before the renewal date, the next period is not charged. If received later, the period already begun is payable and the Service ends upon its conclusion.

7.3 Cancellation takes effect at the end of the paid monthly period. There are no pro-rata refunds for periods already begun. The billing pause under Clause 5 is not a refund.

7.4 Consultor Gautrin may suspend or terminate the Service, upon written notice, in the event of: (i) non-payment; (ii) breach of Clause 4 that materially prevents operation; (iii) use contrary to Clause 13; (iv) abusive, offensive, or aggressive treatment of its personnel, of other clients, or of any session participant, whether by the Client or by its collaborators; (v) reputational, legal, or compliance risk to Consultor Gautrin or its technology providers; or (vi) breach of the participation rules in Clause 20.

7.5 Upon termination of the Service for any reason, the licenses granted to the Client end and access to the infrastructure operated by Consultor Gautrin is revoked, subject to Clause 8.4.

7.6 Non-renewal by Consultor Gautrin. Just as the Client may cancel at any time, Consultor Gautrin may decide not to renew the Service without stating a reason, by written notice at least five (5) calendar days before the renewal date; in that case the next period is not charged and the Service ends at the close of the paid period. Alternatively, Consultor Gautrin may end it before that date, in which case it refunds the unused pro-rata portion of the current period.

7.7 Financial effects of termination for cause. Where the Service ends for any of the causes in Clause 7.4, no refund of the current period is due. Consultor Gautrin may, at its sole discretion and without any admission of liability, refund the unused pro-rata portion. Platform usage charges already incurred and advertising spend are non-refundable.

8. OWNERSHIP, LICENSES AND EXIT

8.1 What belongs to the Client. The following are and remain the Client's property: its brand and distinctive marks, the content it supplies, its database of contacts, prospects, and commercial history, its advertising accounts, and its profiles on third-party platforms.

8.2 What belongs to Consultor Gautrin. The following are and remain the exclusive property of Consultor Gautrin: its methodology, systems architecture, campaign structures, templates, sequences, automations, conversational agent instructions and configurations, documentation, software, code, and processes, even where implemented for the Client or adapted to its operation.

8.3 License. During the term of the Service, and provided the Client is current on payments, Consultor Gautrin grants it a non-exclusive, non-transferable, non-sublicensable, and revocable license to use the items referred to in Clause 8.2 in its own commercial operation. Copying, reproducing, commercializing, assigning, reverse engineering, or using them to develop or provide a competing service is prohibited.

8.4 Orderly exit. Upon termination of the Service for any reason, the Client may request in writing, within thirty (30) calendar days, the export of its data — contacts, conversations, and commercial history — in a standard interchange format, which is delivered within ten (10) business days of the request, at no cost. If no request is made within that period, Consultor Gautrin may delete the information in accordance with its retention policies. Configurations, automations, and structures hosted on Consultor Gautrin's infrastructure are not subject to delivery, migration, or transfer.

9. CONFIDENTIALITY

9.1 Each party undertakes to keep confidential the other's technical, commercial, financial, operational, and strategic information to which it has access in connection with the Service, to use it solely for the purposes of the Service, and not to disclose it to third parties without prior written authorization.

9.2 Where the Service includes group sessions with other clients, each participant undertakes to treat as confidential the business information shared by the others in those sessions.

9.3 This obligation survives the term of the Service and continues for three (3) years after its termination, and does not apply to information that is in the public domain, was previously known without an obligation of confidentiality, or whose disclosure is required by a competent authority.

10. PERSONAL DATA PROTECTION

10.1 With respect to the personal data of the Client's prospects, contacts, and customers, the Client acts as data controller and Consultor Gautrin acts as data processor, processing such data solely on the Client's behalf and in accordance with its instructions, under the Mexican Federal Law on Protection of Personal Data Held by Private Parties and applicable regulations.

10.2 The Client warrants that it maintains a valid, lawful privacy notice, that it has obtained the necessary authorizations, and that its databases and contact lists are lawfully sourced. The Client shall hold Consultor Gautrin harmless from any claim, proceeding, or penalty arising from breach of this warranty.

10.3 Consultor Gautrin implements reasonable administrative, technical, and physical security measures, does not use the Client's data for its own purposes other than providing the Service, does not share it with other clients, and, upon termination of the relationship, returns or deletes it in accordance with Clause 8.4.

10.4 The processing of the Client's own personal data is governed by Consultor Gautrin's Privacy Policy, available on its website and forming an integral part of these Terms.

11. RECORDINGS, TESTIMONIALS AND CASE STUDIES

11.1 Session recordings. Consulting sessions, video calls, and working meetings are recorded. Recordings are used to document what was agreed, follow up on the tasks arising from each session, quality control, training of our team, and improvement of our processes and working systems. They are held subject to the confidentiality obligation in Clause 9 and are not shared with third parties outside the provision of the Service.

11.2 Testimonials. If the Client chooses to share a testimonial — written, audio, or video — about its experience with the Service, by providing it the Client authorizes Consultor Gautrin to publish and reproduce it, together with the Client's name, title, company name, and logo as provided, on its website, social media, presentations, and advertising materials. This authorization is royalty-free, non-exclusive, and without territorial limitation.

11.3 Case studies and figures. Public disclosure of the Client's figures or results as a case study, and public use of excerpts from the recordings referred to in Clause 11.1, require the Client's prior authorization. Written authorization, including by email or text message, is sufficient.

11.4 Client preference. The Client may tell us at any time, through the support channel, that it does not wish its name, image, voice, or figures to be used for promotional purposes, and may simply decline testimonial requests. The Client may also revoke at any time an authorization granted under Clauses 11.2 or 11.3. Revocation takes effect prospectively: Consultor Gautrin will make reasonable efforts to remove the material from media under its control, with no obligation as to reproductions, copies, or distributions already made by third parties or in materials already circulated.

12. NON-SOLICITATION OF PERSONNEL

During the term of the Service and for twelve (12) months following its termination, the Client shall refrain from hiring, soliciting, or directly or indirectly inducing the hiring of Consultor Gautrin's personnel or collaborators who participated in providing the Service, absent prior written authorization. This restriction does not prevent the Client from freely engaging any provider in the market.

13. ACCEPTABLE USE

The Client undertakes not to use the Service for: unlawful, fraudulent, or deceptive activities; promotion of products or services prohibited or restricted by the platforms used; sending unsolicited communications in breach of applicable regulations; impersonation; infringement of third-party rights; or to develop, replicate, or provide a competing service. Consultor Gautrin may suspend the Service immediately upon any reasonable indication of such conduct.

14. LIMITATIONS OF LIABILITY

14.1 Except as expressly provided in these Terms — in particular Clause 5 — the Service is provided without implied warranties of merchantability, fitness for a particular purpose, or commercial result.

14.2 Consultor Gautrin shall not be liable for indirect, incidental, special, punitive, or consequential damages, nor for lost profits, lost revenue, lost opportunity, loss of data, or reputational harm.

14.3 Consultor Gautrin's total aggregate liability to the Client, on any cause and under any legal theory, shall not exceed the amount of fees actually paid by the Client during the three (3) months immediately preceding the event giving rise to the claim.

14.4 The foregoing limitations apply to the fullest extent permitted by law and do not exclude liability for willful misconduct or bad faith.

15. THIRD PARTIES AND FORCE MAJEURE

15.1 Neither party shall be liable for failures arising from unforeseeable circumstances or force majeure.

15.2 The Service relies on third-party platforms and providers — including advertising, messaging, CRM, automation, and artificial intelligence platforms — whose policies, pricing, availability, approval rules, and decisions to suspend or restrict accounts are outside Consultor Gautrin's control. The rejection of ads or templates, the suspension or restriction of accounts, policy changes, service interruptions, or price changes by such third parties do not constitute a breach by Consultor Gautrin. In such cases, Consultor Gautrin will pursue reactivation or propose equivalent alternatives with the diligence the situation permits, and will keep the Client informed.

16. INDEMNIFICATION

The Client shall hold Consultor Gautrin, its partners, employees, and collaborators harmless from any claim, demand, penalty, loss, or expense — including reasonable legal fees — arising from: (i) the content, offer, or information provided by the Client; (ii) breach of Clauses 4, 10, or 13; (iii) the Client's infringement of third-party rights; or (iv) the Client's failure to comply with the regulations applicable to its activity.

17. CHANGES TO THESE TERMS

Consultor Gautrin may modify these Terms. Any modification will be published with a version number and effective date, and notified to the Client at least ten (10) calendar days in advance by email or notice on the website. Modifications apply to service periods beginning on or after their effective date. If the Client does not agree, it may cancel under Clause 7.2 without penalty.

18. HOW WE RESOLVE DISPUTES

18.1 Conversation first. Before commencing any proceeding, the parties undertake to attempt to resolve the dispute in good faith through direct communication, for a period of thirty (30) calendar days from written notice. In practice, nearly everything is resolved here.

18.2 Mediation. If no agreement is reached, the parties will submit the dispute to mediation, which may be conducted in Spanish and by remote means, before resorting to Clause 18.3.

18.3 Governing law and jurisdiction. These Terms are governed by the laws of the State of New Mexico, United States of America, without regard to its conflict of laws principles. Once the preceding stages are exhausted, disputes will be resolved by binding individual arbitration under the rules of the American Arbitration Association, seated in Albuquerque, New Mexico, or before the competent courts of that state, at the claimant's election. The arbitration may be conducted by remote means and on the documents, without requiring the parties to travel. The parties waive class proceedings and trial by jury.

18.4 Time limit for claims. Any claim arising from the Service must be brought within twelve (12) months of the event giving rise to it; thereafter it is extinguished.

19. GENERAL PROVISIONS AND CONTACT

19.1 Assignment. The Client may not assign its rights or obligations without prior written consent. Consultor Gautrin may assign them to an affiliate or successor company.

19.2 Severability. If any provision is held invalid or unenforceable, the remainder stays in full force.

19.3 No waiver. Forbearance or delay in exercising a right does not constitute a waiver of it.

19.4 Relationship of the parties. The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, franchise, agency, or employment relationship.

19.5 Notices. Notices will be given by email to the addresses designated by the parties and will be deemed received on the business day following dispatch.

19.6 Language. This document is issued in Spanish and English. For Clients contracting from the United Mexican States, the Spanish version prevails. For all other Clients, the English version prevails.

20. GROUP SESSION PARTICIPATION RULES

20.1 Scope. Group consulting sessions are a space shared among several clients and the Consultor Gautrin team. These rules apply to the Client and to every person who attends or communicates on its behalf —partners, assistants, employees, or collaborators— and their conduct is deemed the Client's conduct for purposes of these Terms. They also apply, as relevant, to individual sessions, breakout rooms, chats, and any other communication channel with Consultor Gautrin.

20.2 Rules. Each participant undertakes to:

  • a) Respect. Treat the Consultor Gautrin team and the other participants courteously. Shouting, insults, mockery, disparagement, threats, pressure, and offensive or discriminatory language are not permitted.
  • b) Shared time. Follow the turns and order set by the moderator, and not interrupt or monopolize the session. Lengthy or individual matters are handled in a breakout room, in another session, or through the support channel, as the moderator directs.
  • c) Matters outside the group session. Complaints about charges, refunds, cancellations, or disagreements with the Service or the agreement are not raised in front of other participants: they are submitted in writing to the addresses in Clause 19.7 and handled under Clause 18.
  • d) Format. Consultor Gautrin determines the platform, schedule, length, agenda, and format of the sessions. The Client may not demand a change of platform or individual, urgent, or additional sessions beyond what was contracted; any additional session is a courtesy under Clause 2.5.
  • e) Others' privacy. Not record, photograph, or capture the session by its own means; not disclose what other participants share (Clause 9.2); and not use the session to offer or sell products or services to other participants.
  • f) Preparation. Attend with the access, information, and pending items it is responsible for (Clause 4), and with adequate connection and audio.

20.3 Moderator's authority. To protect the session, the moderator may, without prior notice, mute a participant, move them to a breakout room, postpone their topic, or remove them from the session.

20.4 Serious breaches. The following are serious breaches: insults or threats; harassment or bullying; discriminatory conduct; disclosure of other participants' information; unauthorized recording of the session; and repeating a breach after a written warning.

20.5 Consequences. For breaches that are not serious, Consultor Gautrin will give a verbal warning at the time and, if the conduct recurs, a written warning. A further breach after the written warning, or any serious breach, is cause for immediate termination of the Service under Clause 7.4, with the effects of Clause 7.7. Consultor Gautrin may also suspend the Client's participation in group sessions while it addresses the matter in writing.

20.6 Evidence. The recordings under Clause 11.1, written messages, and the moderator's log serve as evidence of conduct for purposes of this clause.

ANNEX A — FREQUENTLY ASKED QUESTIONS

This annex is informational and does not form part of the numbered clauses. If anything here differs from the clauses above, the clauses prevail.

Is there a minimum term or lock-in? No. The Service is month to month and you can cancel whenever you want (Clause 7).

How soon do I see something? Our implementation takes 14 business days from the day we receive your access, information and materials in full; every day a deliverable is missing is added. The first data from your own operation — leads, cost per lead, conversations — shows from the seventh day your Meta campaign is live. Volume varies by sector, offer, budget and competition (Clauses 3.2 and 3.4).

Do you guarantee results? We guarantee the cost per booked meeting: before launch we set a cap with you using your numbers and, if at the close of the first campaign month the actual cost is above it, we pause your next monthly fee and keep operating until it is within the cap (Clause 5). We do not guarantee how many meetings you close or any sales figures, because those depend on your offer, your pricing and your closing capacity.

What if I am late delivering my access or materials? Nothing extra is charged and nothing is deducted: the fee follows its normal schedule, but our 14 business days and the first campaign month start counting once your deliverables are complete. We tell you in writing what is missing and since when (Clauses 4.1 and 4.3).

What do I pay on top of the fee? Your advertising spend on the platforms and platform usage (messages, emails, AI), which runs on a prepaid, auto-recharging balance. Everything else — CRM, funnels, automations, calendar, WhatsApp, AI agent — is included for your main campaign, with new ads and angles whenever they are needed. An additional campaign for another niche or line of business is charged separately (Clauses 2.2, 2.8, 6.3, and 6.4).

Do you issue an invoice? Is it deductible? We issue a numbered invoice showing your RFC, legal name, and tax domicile, with the tax note supporting its deduction under Rule 2.7.1.14 of the Miscellaneous Tax Resolution. It is not a CFDI, because the issuer is a U.S. entity. We provide Form W-9 and a certificate of tax residence on request. Confirm the treatment with your accountant (Clause 6.6).

Do I need a website or additional tools? No. The system includes CRM, funnels, automations, calendar, WhatsApp, and email, all configured by our team.

Who operates the system? We implement, operate, and optimize it. Your CRM, your calendar, and the relationship with your prospects remain under your control, and you close the sale (Clauses 2.3 and 4.1.e).

How much of my time will this take? During implementation: attending the sessions, providing access and information, and approving materials within a maximum of 3 business days. Once live: reviewing prospects, attending your appointments, and making the strategic decisions each week (Clause 4).

What happens to my data if I leave? It is yours. You can request an export of your contacts, conversations, and history within 30 days and we deliver it at no cost within 10 business days (Clause 8.4).

Are sessions recorded? Yes. We use recordings to document agreements, follow up on tasks, quality control, and internal training. If you give us a testimonial, we may publish it; if you would rather we not use your name or your figures, just tell us (Clause 11).

What happens if someone does not follow the group session rules? The moderator can mute them or move them to a breakout room. If it happens again, there is a written warning, and a serious breach —insults, threats, harassment, or recording without permission— ends the service. The same applies to your team (Clause 20).

Version 3.2 — published October 13, 2026, effective October 23, 2026. Supersedes Version 3.1 of October 2, 2026.
